These terms govern use of epiensos, provided by Blue Cielo, Inc. (we, us). By creating an account, accepting an invitation, or using the API, you agree to them on behalf of yourself and the organization you represent.

1. Access

Sign up is invitation only. We may accept or decline any waitlist request. People from approved organizations are activated when they sign in. Accounts are for people or for agents authorized by a team. You are responsible for the activity under your credentials and your API keys.

2. The service

epiensos discovers funding opportunities, scores them, drafts application and deliverable content, monitors mail, tracks deadlines and deliverables, and integrates with third party tools you connect. It is a tool. Scores, probabilities, expected values, and drafts are estimates and suggestions, not advice, guarantees, or representations about any funder's decision.

3. Your responsibilities

• You review and confirm every submission. Nothing is submitted to a funder without an explicit confirmation from your team, and the submission is yours.
• You are responsible for the accuracy of your company profile, facts, and applications, and for compliance with each funder's rules, including rules on the use of AI in applications.
• You will not use the service to apply on behalf of an organization you are not authorized to represent, to scrape or redistribute our data, or to interfere with the service or other teams.
• You will keep API keys confidential and rotate them if exposed.

4. Your content

You own your content. You grant us the license needed to store, process, and display it to provide the service, including sending it to AI providers and to agents your team authorizes. We do not use your content to train models. See the privacy policy.

5. Fees

Fees are a monthly subscription and, where agreed, a success fee on awards recorded in the platform, as stated in your invitation. Fees are billed through Stripe. Subscriptions renew monthly until cancelled. Success fees are invoiced when an award is recorded and are due within 30 days. Late amounts may suspend access.

6. Third party services

Dropbox, Todoist, Melina, PolyAccounts, Gmail, Stripe, and the funder portals are governed by their own terms. Funder data comes from public sources and may be incomplete or change without notice. Verify deadlines and requirements against the funder's own page before relying on them.

7. Availability and changes

We aim for high availability but do not guarantee it. We may change or discontinue features with reasonable notice to team owners.

8. Termination

You may cancel at any time from Settings. We may suspend or terminate accounts that breach these terms. On termination you may export your content for 90 days, after which it is deleted.

9. Disclaimer and limitation

The service is provided as is. To the fullest extent permitted by law we disclaim implied warranties, and our aggregate liability for any claim is limited to the fees you paid in the 12 months before the claim. We are not liable for lost awards, lost profits, or indirect damages.

10. Governing law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Disputes will be resolved in the state or federal courts located in Delaware.
